Welcome to GPT Proto! These Terms of Service ("Terms") constitute a legally binding agreement between [Insert Legal Entity Name] ("GPT Proto", "we", "us", or "our") and you ("Customer", "you", or "your").

By creating an account, accessing our API, or using the services provided via gptproto.com (the "Services"), you confirm that you have read, understood, and agree to be bound by these Terms. If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind such entity to these Terms.

PLEASE READ THESE TERMS CAREFULLY. THEY CONTAIN MANDATORY ARBITRATION PROVISIONS AND CLASS ACTION WAIVERS THAT AFFECT YOUR LEGAL RIGHTS.

 

  1. Definitions

1.1. "Authorized User" means you (if you are an individual) or any employee, agent, or third party authorized by you to use the Services using your Login Credentials or API Keys.

1.2. "Customer Data" means the Inputs provided by Customer and the Outputs generated.

1.3. "Input" means any text, code, images, or other content transmitted by Customer to the Services for processing.

1.4. "Output" means the content generated and returned by the Services based on the Input.

1.5. "Resultant Data" means data and information related to Customer's use of the Services that is aggregated and anonymized by GPT Proto, including statistical, performance, and routing information. Resultant Data does not include the actual content of Inputs or Outputs.

1.6. "Third-Party Models" means artificial intelligence models provided by third parties (e.g., OpenAI, Google, Anthropic) that are accessed through the GPT Proto aggregation interface.

1.7. "Services" means the API aggregation platform, website, and related software provided by GPT Proto that facilitates access to Third-Party Models.

  1. Services & Aggregation

2.1. Unified Access. GPT Proto grants Customer a non-exclusive, non-transferable, revocable right to access and use the Services to route requests to various Third-Party Models via a standardized interface.

2.2. Independent Intermediary. You acknowledge that GPT Proto acts solely as a technical intermediary and aggregator. We do not own, train, or control the Third-Party Models. The availability, accuracy, and safety of the Output depend entirely on the underlying Third-Party Providers. 2.3. Modifications. We reserve the right to modify the Services, deprecate specific API endpoints, or remove support for certain Third-Party Models at any time without prior notice or liability.

  1. Account Security

3.1. Responsibility. You are responsible for maintaining the confidentiality of your API keys and login credentials. You accept full responsibility for all activities that occur under your account, including usage accrued by your employees or any third party who gains access to your API keys.

3.2. Notification. You must notify us immediately at [email protected] upon becoming aware of any breach of security or unauthorized use of your account.

3.3. Suspension. We reserve the right to suspend or terminate your access without liability if we suspect your account is being used for fraudulent activity, API abuse, or in violation of these Terms.

  1. Fees, Credits, and Payment

4.1. Prepaid Credits. The Services operate on a prepaid credit basis. You must purchase credits in advance to utilize the API. The cost for each request (based on token usage or other metrics) will be deducted from your credit balance in real-time.

4.2. No Refunds. ALL PURCHASES OF CREDITS ARE FINAL AND NON-REFUNDABLE, non-transferable, and cannot be exchanged for cash, except as required by applicable Law or agreed to by GPT Proto in its sole discretion.

4.3. Pricing Changes. We may modify our pricing structure (including pass-through costs from Third-Party Providers) at any time. It is your responsibility to monitor current pricing on our website. Continued use of the Services constitutes acceptance of the new pricing.

  1. Intellectual Property & Data Rights

5.1. Customer Ownership. As between you and GPT Proto, you retain all rights, title, and interest in your Inputs and Outputs, subject to the terms of the underlying Third-Party Models.

5.2. License to GPT Proto. You grant GPT Proto a worldwide, royalty-free license to transmit, process, and temporarily store your Customer Data solely as necessary to provide the Services (e.g., routing your prompt to OpenAI and returning the answer to you).

5.3. Resultant Data. GPT Proto owns all rights to Resultant Data. We may collect and analyze data derived from the provision of the Services (such as latency, error rates, token counts, and routing efficiency) to improve our platform, provided such data does not identify you or reveal your confidential Inputs/Outputs.

5.4. Feedback. Any suggestions or feedback you provide regarding the Services may be used by GPT Proto without any obligation or compensation to you.

  1. Acceptable Use Policy (AUP)

You agree not to use the Services, nor allow any third party to use the Services, for any of the following prohibited activities. Violation of this section may result in immediate account ban and forfeiture of credits.

6.1. Illegal & Harmful Content. You may not generate or promote:

  • Child sexual abuse material (CSAM) or exploitation.

  • Self-harm, suicide, or violence.

  • Hateful content based on race, gender, religion, or sexual orientation.

  • Illegal acts, including fraud, scams, or terrorism. 6.2. Deception & Misinformation. You may not use the Services to:

  • Generate automated disinformation campaigns.

  • Impersonate others without consent.

  • Represent AI-generated Output as human-generated without disclosure. 6.3. System Abuse. You may not:

  • Reverse engineer, decompile, or attempt to derive the source code of the GPT Proto platform.

  • Perform web scraping or data mining on the Services.

  • Create a competing API aggregation service that functions as a "wrapper" solely to resell GPT Proto’s access.

  • Send High Volume requests that disrupt the integrity or performance of the Service (DDoS). 6.4. Third-Party Compliance. You specifically agree to adhere to the Usage Policies of the underlying model providers (e.g., OpenAI’s Usage Policy, Google’s AI Principles). A violation of a downstream provider’s policy via our API is deemed a material breach of these Terms.

  1. Third-Party Offerings & Disclaimers

7.1. "As Is" Service. The Services are provided "AS IS" and "AS AVAILABLE" without warranties of any kind. GPT Proto explicitly disclaims all warranties of merchantability, fitness for a particular purpose, and non-infringement.

7.2. No Guarantee of Output. You acknowledge that AI models are probabilistic and may produce Output that is inaccurate, offensive, biased, or "hallucinated." GPT Proto does not guarantee the accuracy or reliability of any Output.

7.3. Third-Party Dependency. The Services rely on Third-Party Offerings that are beyond our control. We are not liable for any downtime, latency, content filtering, or service discontinuation caused by Third-Party Model providers (e.g., if OpenAI goes down, we are not liable).

  1. Limitation of Liability

8.1. Exclusion of Damages. TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL GPT PROTO OR ITS AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, USE, OR GOODWILL, WHETHER OR NOT WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

8.2. Liability Cap. GPT PROTO’S TOTAL CUMULATIVE LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS SHALL NOT EXCEED THE TOTAL AMOUNT PAID BY YOU TO GPT PROTO IN THE THREE (3) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR $100 USD, WHICHEVER IS LESS.

  1. Indemnification

You agree to defend, indemnify, and hold harmless GPT Proto, its officers, directors, and employees from and against any claims, damages, losses, liabilities, and expenses (including legal fees) arising out of:

  1. Your use of the Services or Customer Data.

  2. Your violation of these Terms or applicable Law.

  3. Your violation of any Third-Party Provider’s terms or policies (e.g., if your use causes GPT Proto to be banned by a provider).

  4. Any claim that your Input or Output infringes the intellectual property rights of a third party.

  1. Term and Termination

10.1. Termination by Us. We may terminate or suspend your access immediately, without notice, if you breach these Terms or if required by Law or Third-Party Providers.

10.2. Termination by You. You may stop using the Services at any time.

10.3. Effect. Upon termination, your right to use the API ceases immediately. All provisions regarding IP ownership, disclaimers, indemnity, and limitation of liability shall survive termination.

  1. Dispute Resolution and Arbitration

11.1. Binding Arbitration. Any dispute, controversy, or claim arising out of or relating to these Terms, including the validity, invalidity, breach, or termination thereof, shall be resolved by binding arbitration administered by [Insert Arbitration Body, e.g., SIAC in Singapore or LCIA in UK] in accordance with its rules. The seat of arbitration shall be [Insert City, e.g., Singapore or London]. The language of arbitration shall be English.

11.2. Class Action Waiver. TO THE FULLEST EXTENT PERMITTED BY LAW, YOU AGREE THAT YOU MAY BRING CLAIMS AGAINST GPT PROTO ONLY IN YOUR INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING.

  1. General Provisions

12.1. Governing Law. These Terms shall be governed by the laws of [Insert Jurisdiction, e.g., Singapore / UK / Delaware], without regard to conflict of law principles.

12.2. Severability. If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions will remain in full force.

12.3. Entire Agreement. These Terms constitute the entire agreement between the parties regarding the Services and supersede all prior agreements.

12.4. Changes. We may update these Terms from time to time by posting the amended version on our website. Your continued use of the Services after any changes constitutes your acceptance of the new Terms.
